Welcome to Atoma Network, provided by Atoma Research Limited, a company incorporated in the British Virgin Islands ("Atoma," "we," or "us"). By accessing or using our website, APIs, inference services, and related resources (collectively, the "Services"), you agree to comply with and be legally bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use our Services.

1. Definitions

In these Terms, the following definitions apply:

"Confidential Computing" means technology that enables data to be processed in secure enclaves without being exposed to the host environment."Inference Services" means the AI model execution and services offered through our platform."Personal Data" means any information relating to an identified or identifiable natural person."User" or "you" means any individual or entity using our Services.

2. Services Provided

Atoma Network provides decentralized AI inference services leveraging confidential computing. Our Services include secure processing of data without logging, storage, or utilization of user data for training AI models. All inferences are provided "as-is," and Atoma makes no guarantees regarding accuracy, reliability, availability, or response time.

2.1 Service Levels

Atoma strives to maintain the following service levels but does not guarantee them:

For critical issues (e.g., servers or resources completely inaccessible or severely impaired): Response time within 2 hours during business days and 12 hours on weekends/holidays, with resolution time within 8 hours of response.For non-critical issues (e.g., minor issues or performance degradations): Response time within 4 hours during business days and 24 hours on weekends/holidays, with resolution time within 24 hours of response.

3. Eligibility

To access our Services, you represent that you are of legal age and have the legal capacity to enter into binding agreements. You also represent and warrant that your use of the Services does not violate any applicable laws or regulations.

4. User Responsibilities

You agree not to misuse the Services. Prohibited activities include, but are not limited to:

Illegal, fraudulent, or deceptive activities;Attempting to compromise, interfere with, or disrupt our confidential computing infrastructure;Reverse engineering or attempting to derive the source code of any software related to the Services;Distributing malicious software through our platform;Any actions that could harm Atoma, our users, or third parties;Intellectual property infringement.

Violation of these responsibilities may result in immediate suspension or termination of your access to the Services.

5. Acceptable Use Policy

5.1 Users shall comply with all applicable laws and regulations when using the Services.

5.2 Users shall not use the Services for:

Creating, distributing, or promoting hate speech, violence, or discrimination;Harassing, stalking, or threatening others;Impersonating others or providing false information;Distributing malware or conducting unauthorized security testing;Attempting to gain unauthorized access to other networks or systems.

6. Confidential Computing and Data Privacy

Atoma employs confidential computing technologies ensuring no user data, inputs, or prompts are logged, stored, or used for any purpose other than the explicit inference operation requested by the user. We do not use your data for AI model training or improvement.

6.1 Data Processing Details

Data persists only for the duration of the specific inference operation and is immediately discarded afterward.No data is stored beyond the runtime of your specific request.No user-identifiable metadata or usage patterns are collected except as required for security, billing, and operational purposes.Our systems are designed to be compliant with privacy regulations including GDPR and CCPA.

7. Payments and Fees

7.1 Any applicable fees for inference services will be explicitly communicated prior to their accrual. Fees are payable via methods stated on our website or agreed upon separately. All fees are non-refundable except as expressly stated otherwise by Atoma.

7.2 Billing Cycles: Unless otherwise specified, services are billed on a monthly basis. Payment is due within 30 days of invoice issuance.

7.3 Pricing Changes: We will provide at least 3 days' notice before any change in pricing takes effect.

7.4 Account Suspension: Your account may be suspended if payment is more than 30 days overdue, following notice from us.

7.5 You are responsible for any applicable taxes related to your use of the Services.

8. Intellectual Property

8.1 All intellectual property rights in our Services, software, infrastructure, APIs, and documentation remain solely with Atoma. You are granted a limited, revocable, non-exclusive license solely to use the Services in compliance with these Terms.

8.2 Output Ownership: The results and outputs generated through your use of our Services belong to you, provided that your use complies with these Terms. However, this does not grant you any rights to the underlying models, algorithms, or systems used to generate such outputs.

9. Limitation of Liability and Disclaimer

The Services are provided on an "as-is" and "as-available" basis without any warranties or guarantees. Atoma explicitly disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Under no circumstances shall Atoma or its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of your use or inability to use the Services, even if advised of such possibility.

Atoma's total liability to you for any claims arising from or related to these Terms shall not exceed the amount paid by you to Atoma for the Services during the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Atoma, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses arising from or related to your use of the Services or your violation of these Terms.

11. Termination

11.1 Atoma reserves the right to suspend or terminate your access to our Services immediately without notice if we determine, in our sole discretion, that you have violated these Terms.

11.2 Upon termination:

All rights and licenses granted to you under these Terms will immediately cease.You must cease all use of the Services.Any outstanding payment obligations will become immediately due.Sections of these Terms that by their nature should survive termination shall survive.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, power failures, epidemic and governmental actions.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be exclusively resolved through binding arbitration conducted in the British Virgin Islands.

14. Dispute Resolution and Arbitration

You agree that disputes arising from these Terms or your use of our Services shall be resolved through confidential arbitration under the rules of the British Virgin Islands International Arbitration Centre (BVI IAC), and you waive your right to participate in class-action lawsuits or class-wide arbitrations.

15. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without Atoma's prior written consent. Atoma may assign these Terms, in whole or in part, to a successor entity in the event of a merger, acquisition, or sale of all or substantially all of its assets.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

17. Complete Agreement

These Terms constitute the entire agreement between you and Atoma regarding the Services and supersede all prior agreements and understandings, whether written or oral.

18. Changes to the Terms

We reserve the right to modify or update these Terms at any time. Updates will be effective upon posting on our website, and continued use of the Services constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify you via email or through a notice on our website at least 30 days before such changes take effect.
